1. Acceptance of These Terms

These Terms of Use (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Ethereal Tech Pte. Ltd. (operating as “BitFuFu,” “we,” “us,” or “our”), a company incorporated in Singapore, and its affiliates.

These Terms govern your access to and use of the websites at bitfufumininggroup.com and related domains, mobile applications, cloud mining services, miner sales, miner hosting, mining pool services, software (including BitFuFuOS), and any other products or services we offer (collectively, the “Platform” or “Services”).

By accessing, browsing, registering an account, purchasing any product or service, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately stop using the Platform and Services.

We may amend these Terms at any time at our sole discretion. The updated version will be posted on the Platform with a revised “Last Updated” date. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

If you purchase specific products (e.g., cloud mining contracts or miners), additional product-specific terms may apply and form part of this Agreement.

2. Eligibility and User Representations

By using the Services, you represent and warrant that:

If you are an individual: you are at least 18 years of age (or the age of majority in your jurisdiction) and have full legal capacity to enter into this Agreement.
If you are an entity: you are duly organized, validly existing, and in good standing under the laws of your jurisdiction, and the individual accepting these Terms has full authority to bind the entity.
Your use of the Services complies with all applicable laws and regulations in your country or region and does not violate any obligations you owe to third parties.
You have the legal power and authority to enter into this Agreement and any related purchase orders, and this Agreement is valid and binding on you.
You are not located in, or a resident or national of, any jurisdiction subject to comprehensive sanctions or where the Services are prohibited.
You will only register and maintain one account unless we give prior written consent.
All information you provide is accurate, complete, and up to date.

We reserve the right to refuse service, suspend, or terminate accounts that do not meet these requirements or that we reasonably believe violate these Terms or applicable law.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

Provide true, accurate, current, and complete registration information.
Promptly update your information if it changes.
Maintain the confidentiality of your username, password, and any authentication credentials (including two-factor authentication).
Not share your account credentials with any third party or allow unauthorized access.
Notify us immediately at [email protected] if you suspect unauthorized access or any security breach.

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your credentials or from unauthorized use of your account.

For compliance purposes (including Know-Your-Customer / KYC and Anti-Money Laundering / AML requirements), we may request additional personal or financial information, identity documents, proof of address, or source-of-funds information at any time. Failure to provide requested information may result in restricted access, suspension, or termination of your account or Services.

4. Description of Services

BitFuFu provides one-stop Bitcoin mining-related services, including but not limited to:

Cloud Mining: Purchase of hashrate contracts that allow you to earn Bitcoin rewards without owning or managing physical hardware. Rewards are credited to the mining wallet in your account.
Miner Sales: Sale of new or used Bitcoin mining hardware.
Miner Hosting: Hosting of customer-owned miners at our facilities.
Mining Pool Services: Access to BitFuFu Pool or related pool services.
Related Software and Tools: Including firmware (e.g., BitFuFuOS) and monitoring tools.
Other ancillary services we may offer from time to time.

Service availability, pricing, hashrate allocation, and specific terms for each product are described on the Platform at the time of purchase. We reserve the right to modify, suspend, or discontinue any Service (in whole or in part) at any time, with or without notice, subject to any applicable contractual commitments for active paid contracts.

5. Orders, Payments, Pricing, and Refunds

All prices, hashrate amounts, contract durations, and fees are displayed on the Platform and may change at any time before you complete a purchase.
Payment may be made in supported cryptocurrencies, fiat (where available), or platform credits (“FuFu Points” or similar). FuFu Points, once purchased, are generally non-refundable.
Once you complete a purchase of a cloud mining contract or other Service, the order is generally final. We reserve the right to refuse refunds except where required by law or where we are unable to provide the contracted Service due to our own material failure (in which case we will offer a reasonable alternative or negotiate compensation).
You are responsible for any network fees, gas fees, exchange fees, or taxes associated with your payments or withdrawals.
Rewards from cloud mining plans and hosted miners are credited to the mining wallet in your account, according to the payout schedule that applies to your plan, and remain there until you request a withdrawal. Withdrawals are sent to the external wallet address you provide. On-chain transactions are irreversible.
We hold the digital assets you deposit, and the rewards credited to your account, in custodial wallets that we control on your behalf. The deposit addresses issued to your account are generated and controlled by us, and your balances are recorded in our records.

6. Risks and Disclaimers

Important Risk Disclosure

Participation in Bitcoin mining and related digital-asset activities involves significant risks. By using the Services, you acknowledge and accept these risks, which include (but are not limited to):

High volatility of Bitcoin and other digital assets; values can decline rapidly, including to zero.
Changes in mining difficulty, network hashrate, block rewards, or protocol rules that may reduce or eliminate expected returns.
Hardware obsolescence, electricity costs, and operational risks.
Regulatory, legal, and policy changes in any jurisdiction that may restrict or prohibit digital assets or mining activities.
Technical risks inherent in blockchain technology, including potential bugs, forks, or network congestion.
Irreversibility of blockchain transactions and the risk of sending assets to an incorrect address.
Cybersecurity risks, including hacking, phishing, or theft of credentials or private keys.
Possibility of service interruptions for maintenance, upgrades, force majeure, or other reasons.

No Investment Advice. Nothing on the Platform constitutes investment, financial, legal, or tax advice. You should conduct your own independent research and consult qualified professionals before making any decision. Past performance is not indicative of future results. We assume that users of the Services understand the digital-asset industry and associated risks.

We make no guarantees regarding profitability, uptime, hashrate delivery beyond what is contractually stated, or the future value of any digital asset.

7. User Obligations and Prohibited Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

Violate any applicable law, regulation, or third-party rights.
Engage in fraud, money laundering, terrorist financing, or other illegal activities.
Attempt to gain unauthorized access to the Platform, other users’ accounts, or our systems.
Interfere with or disrupt the Platform, servers, or networks.
Use the Services to transmit malware, spam, or harmful content.
Create multiple accounts without authorization, engage in wash trading, or manipulate the Platform.
Impersonate any person or entity or misrepresent your affiliation with BitFuFu.
Scrape, reverse-engineer, or attempt to extract source code or underlying technology (except as permitted by law).
Use the Platform in any manner that could damage our reputation or the integrity of the Bitcoin network.

We reserve the right to investigate and take appropriate action (including account suspension or termination and reporting to authorities) for any suspected violations.

8. Intellectual Property

All content, trademarks, logos, software, designs, text, graphics, and other materials on the Platform (excluding user-generated content) are owned by or licensed to BitFuFu and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal or internal business purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works of any Platform content without our prior written consent.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand how we collect, use, and protect your personal data.

10. Disclaimers of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.

WE DO NOT WARRANT THAT ANY EXPECTED MINING REWARDS, HASHRATE, OR RETURNS WILL BE ACHIEVED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BITFUFU AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations of liability; in such cases, the above limitations apply to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless BitFuFu and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or applicable law; (c) your violation of any third-party rights; or (d) any content or data you submit.

13. Termination

We may suspend or terminate your access to the Platform or any Services at any time, with or without cause or notice, including for violation of these Terms, suspected illegal activity, or regulatory requirements.

Upon termination:

Your right to use the Services ceases immediately.
We are not obligated to provide unfinished services or transmit unprocessed information.
Provisions that by their nature should survive (including risk disclosures, limitations of liability, indemnification, and dispute resolution) will survive.

You may stop using the Services and request account closure at any time by contacting support.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC for the time being in force. The seat of arbitration shall be Singapore. The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.

Notwithstanding the foregoing, either party may seek interim or provisional relief from any court of competent jurisdiction.

15. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between you and us regarding the subject matter hereof.
Severability: If any provision is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
Assignment: You may not assign these Terms without our prior written consent. We may assign them freely.
Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
Notices: We may provide notices via the Platform, email, or other reasonable means. You may contact us at the addresses below.
Language: These Terms are prepared in English. Any translation is for convenience only; the English version prevails in case of conflict.
